User Agreement

2.1 Account Creation

To use most features of PakLinked, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept all risks of unauthorized access to your account
• Immediately notify us of any unauthorized use of your account

2.2 Account Ownership

Your account is personal to you. You may not transfer, sell, or share your account with anyone else. We reserve the right to reclaim usernames or custom URLs that appear to be inactive, trademark violations, or otherwise inappropriate.

2.3 Professional Use

PakLinked is a professional networking platform. You agree to use the Services in a professional manner consistent with the purpose of connecting professionals, finding opportunities, and advancing careers.

3.1 License to Use Our Services

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes.

3.2 What You Cannot Do

You agree that you will NOT:

• Create a false identity, misrepresent your affiliation, or impersonate others
• Use automated tools (bots, scrapers, crawlers) to access the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Rent, lease, sell, or sublicense access to the Services
• Circumvent security features or access controls
• Interfere with or disrupt the Services or servers
• Collect user information without consent
• Use the Services for any illegal or unauthorized purpose

3.3 Our Rights

We reserve the right to:

• Modify, suspend, or discontinue any part of the Services at any time
• Remove or refuse to distribute any content on the Services
• Terminate or suspend accounts that violate this Agreement
• Establish limits on the use of the Services (e.g., connection requests, messages)
• Reclaim inactive usernames or custom URLs

4.1 Your Content

You retain all ownership rights to the content you post on PakLinked ("Your Content"). By posting Your Content, you grant PakLinked a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, distribute, modify, adapt, publicly display, and publicly perform Your Content on and through the Services
• Make Your Content available to other users and search engines in accordance with your privacy settings
• Archive, backup, and preserve Your Content

This license ends when you delete Your Content or your account, except where Your Content has been shared with others and they have not deleted it, or where it is necessary for legal compliance or service functionality.

4.2 Content Representations

By posting Your Content, you represent and warrant that:

• You own or have the necessary rights to post Your Content
• Your Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights)
• Your Content does not violate any applicable laws or regulations
• You will comply with all applicable laws regarding Your Content

4.3 Our Content

All content on the Services, excluding Your Content and user-generated content, including text, graphics, logos, icons, images, audio, video, software, and design elements (collectively, "Our Content"), is owned by PakLinked or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, or create derivative works of Our Content without our express written permission.

4.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution to you.

6.1 "AS IS" Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6.2 No Employment Guarantee

PakLinked does not guarantee that you will find employment, professional opportunities, or connections through the Services. We are a platform that facilitates connections but do not control user interactions or hiring decisions.

6.3 User Content Disclaimer

We do not control, verify, or endorse user-generated content. Users are solely responsible for their content and interactions. We are not liable for any user content, including its accuracy, legality, or appropriateness.

6.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAKLINKED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6.5 Indemnification

You agree to indemnify, defend, and hold harmless PakLinked, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your Content
• Your violation of this Agreement
• Your violation of any rights of another person or entity

7.1 Termination by You

You may terminate this Agreement and close your account at any time through your account settings. Account deletion will take effect within 24 hours, after which your data will be permanently deleted in accordance with our Privacy Policy.

7.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including if:

• You violate this Agreement or any applicable laws
• Your use of the Services creates risk or legal liability for us
• We are required to do so by law
• We cease providing the Services

7.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Sections that by their nature should survive termination will survive, including Sections 4 (Content and Intellectual Property), 6 (Disclaimers and Limitations of Liability), 7.3 (Effect of Termination), 8 (Governing Law and Dispute Resolution), and 9 (General Terms).

8.1 Governing Law

This Agreement and any disputes arising out of or relating to this Agreement or the Services shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of laws principles.

8.2 Venue and Jurisdiction

You agree that any legal action or proceeding arising out of or relating to this Agreement or the Services shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you irrevocably consent to the personal jurisdiction and venue of such courts.

8.3 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at legal@paklinked.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

8.4 Time Limitation

You agree that any claim or cause of action arising out of or related to this Agreement or the Services must be filed within one (1) year after the claim or cause of action arose, otherwise such claim or cause of action is permanently barred.

8.5 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

9.1 Changes to this Agreement

We may modify this Agreement at any time by posting the revised version on our website. Material changes will be notified to you via email or a prominent notice on the Services at least 30 days before the effective date. Your continued use of the Services after the effective date constitutes acceptance of the modified Agreement.

9.2 Entire Agreement

This Agreement, together with our Privacy Policy and Copyright Policy, constitutes the entire agreement between you and PakLinked regarding the Services and supersedes all prior agreements and understandings.

9.3 Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. We may assign this Agreement to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

9.4 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

9.5 Waiver

No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

9.6 Force Majeure

We shall not be liable for any failure or delay in performance of the Services due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

9.7 U.S. Export Controls

The Services may be subject to U.S. export control laws. You agree not to export, re-export, or transfer the Services or any technical data derived from the Services to any country or person in violation of applicable U.S. export laws and regulations.
